PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING IN THE FUNDERBUG SERVICE (AS DEFINED BELOW) AND/OR USING THE FUNDERBUG.COM SITE. By participating in the FUNDerbug Service and/or using the FUNDerbug.com Site or any of it's partner sites, you signify your assent to these terms and conditions. If you do not agree to these terms and conditions, please do not participate in the FUNDerbug Service or use the FUNDerbug.com Site. We reserve the right, at our discretion, to modify, change, add to or remove portions of these terms and conditions at any time. You agree to receive notification of modifications to this Agreement via the FUNDerbug.com site. If you continue to use the FUNDerbug.com Site and/or participate in the FUNDerbug Service following the posting of any changes to these terms and conditions, your continued use or participation will mean you accept these changes and agree to be bound by the new terms. Please check these terms and conditions periodically for changes. FUNDerbug, LLC operates FUNDerbug.com and partner branded websites powered by FUNDerbug.com, which together, shall be referred to herein as "The FUNDerbug Service." FUNDerbug is an interactive online shopping site ("FUNDerbug Online Shopping") that enables FUNDerbug 's users ("Users") to access the web sites of third party merchants ("Merchants") and to purchase certain goods or services from such Merchants' web sites. FUNDerbug Online Shopping enables users to direct contributions, which are generated by their purchases and are based on referral fees paid by the Merchants, to one of FUNDerbug 's enrolled schools or non-profit organizations. The amount of the contribution will be in accordance with FUNDerbug 's policy in effect at the time a purchase is made. User must designate an enrolled school or non-profit youth organization to receive contributions generated by the User's purchases prior to making any such purchases; otherwise, the contributions will not be credited to the enrolled organization. Where ORGANIZATION is inactive with FUNDerbug but earns contributions from purchases made by consumers, ORGANIZATION has 90 days from the last day of the quarter where the contributions were earned to activate their account with FUNDerbug to receive said contributions. If ORGANIZATION does not activate within 90 days from the last day of the quarter where the contributions were earned, ORGANIZATION forfeits all rights to these contributions. Active ORGANIZATION is defined as a school or non-profit youth organization who has registered with FUNDerbug via the FUNDerbug.com website, assigns an individual to promote the program to their supporters, and agrees to the terms of said License Agreement. To generate a contribution, a User must follow a link on the FUNDerbug.com Site to the Merchant site, make a purchase, accept delivery and make payment for the purchase to the Merchant. The amount of contributions payable vary depending on the Merchant and depending on the item or service purchased. Contributions may be subject to adjustment in the event of returns by the User and subject to other terms and conditions between FUNDerbug and the Merchant. The contributions will be in accordance with the contribution percentages listed on the FUNDerbug.com site at the time of the User's purchase. All Users' information shall be kept confidential by FUNDerbug, LLCin accordance with its Privacy Policy. The contributions are made by FUNDerbug and are not tax-deductible by User. Limitations User understands that FUNDerbug, LLC does not operate or control the products or services offered by Merchants. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer service. FUNDerbug, LLC is not a party to the transactions entered into between Users and Merchants.

If you click through FUNDerbug and make a purchase, then surf elsewhere on the Web and return to that store and make a second purchase, your second purchase will not be a qualified purchase and your organization will not be eligible for cash back. Additionally, if you are at a FUNDerbug participating merchant site and click on a link on their site that takes you to another site and you make a purchase, your purchase will not be recognized as a FUNDerbug qualified purchase and your organization will not be eligible for Cash Back on those purchases. (You must click through FUNDerbug every time you shop at a merchant site.) If you use multiple windows on your browser, the window in which you shop at a merchant must have originated at FUNDerbug to be a qualified purchase and eligible for Cash back to your organization.

USER AGREES THAT PARTICIPATION IN THE FUNDERBUG SERVICE IS AT THE SOLE RISK OF USER AND THAT THE FUNDERBUG SERVICE IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF TITLE, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES SHALL FUNDerbug, LLC OR ITS AFFILIATES BE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN USERS AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO THE FUNDERBUG.COM SITE. IN NO EVENT SHALL FUNDerbug, LLC NOR ITS AFFILIATES BE LIABLE TO USERS FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT MAY RESULT FROM THE USE OF OR THE INABILITY TO USE THE FUNDERBUG SERVICE OR FROM THE FAILURE TO MAKE REBATES TO THE DESIGNATED ENROLLED ORGANIZATIONS, REGARDLESS OF WHETHER FUNDerbug, LLC OR ITS AFFILIATES WERE MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF WHETHER SUCH DAMAGES ARISE IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE. USER AUTHORIZES FUNDerbug AND ITS AFFILIATES TO PERFORM ALL ACTIONS NECESSARY HEREUNDER, INCLUDING WITHOUT LIMITATION, THE DIRECTING OF REBATES TO AN ENROLLED ORGANIZATION DESIGNATED BY USER.

Intellectual Property The trademarks, logos and services marks ("Marks") displayed on the FUNDerbug.com Site are the property of FUNDerbug, LLC and other parties. Users are prohibited from using any Marks for any purpose without the written permission of FUNDerbug, LLC or such third party which may own the Marks. All information and content including any software programs available on or through the FUNDerbug.com Site ("Content") is protected by copyright. Users are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any Content available on or through the FUNDerbug.com Site for commercial or public purposes. Merchant Policies Users who buy products or services from Merchants will be deemed to be customers of Merchant. All rules, policies (including privacy policies) and operating procedures of Merchant will apply to Users while on such Merchant's site or local store location. FUNDerbug, LLC is not responsible for information provided by Users to Merchants. Merchant and FUNDerbug, LLC are independent contractors and neither party has authority to make any representations or commitments on behalf of the other. Links to Other Sites Access to any other Internet web site linked to the FUNDerbug.com Site is at the User's own risk. User should be aware that linked web sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions that differ from the provisions provided on the FUNDerbug.com Site. FUNDerbug, LLC is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions. General User agrees to use the FUNDerbug Service in accordance with FUNDerbug 's policies and procedures in effect from time to time. User will not use the FUNDerbug Service in a manner that is prohibited by any law, rule or regulation. These terms of use are governed by the laws of the State of Wisconsin without reference to its conflict of law principles and each User consents to the personal jurisdiction of the courts within the State of Wisconsin for any action arising out of use of the FUNDerbug Service. These terms and conditions constitute the entire agreement between FUNDerbug and User. Valid email addresses are required for eligibility in all FUNDerbug promotions
